PART I: NEXTCARE OS — DISCLAIMER FOR HEALTHCARE INSTITUTIONS & PROFESSIONALS

1. Purpose and Scope

  • Nextcare OS is enterprise software provided to hospitals, clinics, and licensed healthcare professionals to support clinical documentation, decision support, operations, billing, pharmacy management, and patient engagement.
  • Nextcare OS includes, without limitation: Clinical EHR & Flow, AI Scribe, Clinical Decision Support System (CDSS), OT management, IPD/ICU management, Day Care and Quick Discharge workflows, Continuous Care tracking, Smart Pharmacy & Stock management, Automated Billing & Claims, an Operations Command Center, and a Digital Storytelling & Branding Suite (including patient intake campaigns and AI voice-agent interactions).
  • Nextcare.Life is a technology provider only. Nextcare.Life is not a hospital, clinic, or healthcare provider, does not employ or supervise treating physicians, and does not practice medicine in any jurisdiction.
  • Nextcare OS is intended solely for use by authorized healthcare institutions, licensed medical professionals, and their designated administrative staff, acting within the scope of their institutional roles and applicable professional licenses.

2. No Warranty — “As Is” Basis

  • Nextcare OS is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or non-infringement.
  • We do not warrant that the platform will be uninterrupted, error-free, secure, or free of defects, or that any AI-generated output will be accurate, complete, or suitable for any particular clinical decision.
  • No advice or information, whether oral or written, obtained through Nextcare OS shall create any warranty not expressly stated in this Disclaimer.

3. AI Scribe and Clinical Decision Support System (CDSS)

  • The AI Scribe transcribes clinical conversations and generates draft documentation, and may suggest provisional diagnoses, investigations, or treatment considerations.
  • The CDSS provides alerts relating to drug interactions, dosage adjustments, contraindications, allergy risks, and possible alternative medications, based on available reference data.
  • All AI Scribe output and CDSS suggestions are advisory and non-binding. They do not constitute a diagnosis, prescription, or finalized medical record, and must not be relied upon as a substitute for independent clinical judgment.
  • Nextcare OS does not independently diagnose conditions, order investigations, prescribe treatment, or otherwise make autonomous medical decisions.
  • All AI-generated content must be reviewed, verified, edited as necessary, and formally approved by the treating clinician before being finalized in the patient's medical record.
  • The treating clinician bears sole and complete responsibility for every diagnosis, prescription, treatment decision, and entry finalized in the patient record, regardless of any AI-generated suggestion.

4. Limitations of AI and Automated Systems

  • Artificial intelligence, automated transcription, and optical character recognition technologies are inherently subject to error. Misinterpretation may occur due to unclear speech, background noise, accents, ambiguous handwriting, incomplete data entry, or limitations in the underlying algorithms and training data.
  • CDSS recommendations are based on standard reference values and known interaction databases; they may not account for a patient's full medical history, rare conditions, atypical presentations, or off-label treatment contexts.
  • Automated inventory forecasting, claims scrubbing, and dispatch dashboards are predictive and administrative tools; they do not guarantee outcomes and may not reflect real-time physical or financial conditions if underlying data is delayed or incomplete.
  • Nextcare.Life makes no representation regarding the clinical, financial, or operational accuracy of any automated output at any given time.

5. Not a Substitute for Professional Medical Judgment

  • Nothing in Nextcare OS is intended to, and nothing shall be construed to, replace the independent professional judgment of a licensed healthcare provider.
  • Use of Nextcare OS does not create, and shall not be construed to create, any doctor-patient relationship between Nextcare.Life and any patient.
  • Institutions and clinicians remain solely responsible for compliance with applicable standards of care, medical ethics, and professional licensing requirements in their jurisdiction.

6. Patient Acquisition, Branding, and Communication Tools

  • Campaign engines, QR-code-based patient intake, and AI voice-agent interactions are marketing and patient engagement tools. They are not clinical services and do not constitute medical advice, triage, or diagnosis.
  • Brand reputation scores, advocacy metrics, and related analytics reflect aggregated engagement data only, and do not represent medical endorsements, quality certifications, or guarantees of clinical outcomes.
  • Interactions with AI voice agents during patient acquisition or registration are preliminary in nature and do not replace an in-person consultation, teleconsultation, or clinical assessment by a licensed doctor.

7. Data Security and Privacy Disclaimer

  • Nextcare.Life implements industry-standard technical and organizational safeguards, including encryption in transit and at rest and role-based access controls, to protect data processed through Nextcare OS.
  • No method of electronic transmission or storage is 100% secure, and Nextcare.Life cannot guarantee absolute security of any data transmitted through or stored within the platform.
  • Data processing is conducted in accordance with applicable law, including India's Digital Personal Data Protection Act, 2023, and applicable sector-specific healthcare data regulations.
  • Institutions using Nextcare OS act as data controllers with respect to patient data and are solely responsible for obtaining valid patient consent for data collection, AI-assisted documentation, and processing. Nextcare.Life acts as a data processor under applicable law and any executed data processing agreement.

8. Regulatory and Licensing Disclaimer

  • Nextcare.Life does not guarantee that Nextcare OS satisfies every regulatory, accreditation, or licensing requirement applicable to a given institution or jurisdiction.
  • Institutions are solely responsible for ensuring their use of Nextcare OS, including AI-assisted documentation and CDSS, complies with applicable healthcare, telemedicine, data protection, and professional licensing laws in their operating jurisdiction(s).
  • Where integration with national health infrastructure (such as the Ayushman Bharat Digital Mission, “ABDM”) is used, Nextcare.Life does not control, and is not responsible for, the availability, accuracy, or synchronization timelines of such third-party or governmental systems.

9. Third-Party Integrations and Services

  • Nextcare OS may integrate with third-party systems, including payer and insurance platforms, diagnostic laboratories, pharmacy suppliers, payment gateways, and government health databases.
  • Nextcare.Life does not control and is not responsible for errors, delays, outages, or data inaccuracies originating from third-party systems.
  • Any links, integrations, or references to third-party products or services within Nextcare OS are provided for convenience only and do not constitute an endorsement.

10. Service Availability; No Emergency Use

  • Nextcare OS is not designed, certified, or intended for use as a primary emergency response, life-support, or critical-care monitoring system.
  • While Nextcare.Life aims for high platform availability, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, technical disruptions, network outages, or force majeure events may affect availability.
  • Institutions must maintain independent emergency protocols, manual documentation fallback procedures, and clinical workflows that do not depend solely on the availability of Nextcare OS.

11. Institution and User Responsibilities

  • Ensure that all data entered, uploaded, or transmitted through Nextcare OS is accurate, current, and derived from verified medical sources.
  • Restrict platform access to authorized personnel acting within their designated institutional roles.
  • Review and validate all AI-generated documentation, alerts, and suggestions prior to finalization.
  • Comply with all applicable healthcare, professional licensing, data protection, and telemedicine regulations.
  • Promptly report suspected data breaches, system malfunctions, or misuse to Nextcare.Life support.

12. Limitation of Liability

  • To the maximum extent permitted by applicable law, Nextcare.Life, its affiliates, officers, employees, and AI systems shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to clinical outcomes, misdiagnosis, billing errors, loss of data, or operational losses, arising from or related to the use of Nextcare OS.
  • This limitation applies regardless of the legal theory on which a claim is based, including contract, tort, negligence, or strict liability, and even if Nextcare.Life has been advised of the possibility of such damages.
  • Use of any feature of Nextcare OS does not shift clinical, financial, regulatory, or legal responsibility away from the treating institution or licensed clinician.
  • Nothing in this Disclaimer excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by proven gross negligence or willful misconduct.

13. Indemnification

  • Institutions and authorized users agree to indemnify, defend, and hold harmless Nextcare.Life and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) misuse of Nextcare OS; (b) failure to review or validate AI-generated content prior to clinical use; (c) violation of applicable law or regulation; or (d) breach of this Disclaimer.

PART II: DIGITAL HEALTH TWIN APPLICATION — DISCLAIMER FOR INDIVIDUAL USERS

14. Purpose and Scope

  • The Digital Health Twin is a secure, continuous digital representation of your vitals, health goals, and medical telemetry, generated through real-time bio-mapping of data you provide, connected devices, and records shared by your treating clinicians.
  • The Health Twin is designed to help you visualize and track changes in your health over time. It is a personal wellness and engagement tool, offered directly to individual users who register an account.

15. Not a Medical Device; No Regulatory Clearance Represented

  • The Digital Health Twin is an informational and engagement tool and is not represented as a certified medical device unless expressly stated otherwise in writing.
  • The Health Twin has not been evaluated, and should not be relied upon, as a diagnostic instrument, monitoring device for clinical decision-making, or life-safety system.

16. No Doctor-Patient Relationship

  • Use of the Digital Health Twin does not create, and shall not be construed to create, a doctor-patient relationship between you and Nextcare.Life or any of its personnel.
  • Any insights, trends, or indicators displayed within the application are general and informational in nature, and are not personalized medical advice, diagnosis, or treatment.

17. No Warranty — “As Is” Basis

  • The Digital Health Twin is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose, or non-infringement.
  • We do not warrant that your Health Twin will be error-free, uninterrupted, or that it will accurately reflect your actual health status at any given time.

18. Limitations of AI-Generated Insights

  • Insights, trends, and indicators are generated by applying algorithms to the data available at a given point in time; they do not account for information that has not been uploaded, synced, or shared.
  • The Health Twin cannot detect conditions that require physical examination, diagnostic imaging, or laboratory testing.
  • Pattern recognition may occasionally produce false positives, false negatives, or fail to identify meaningful changes, particularly in relation to rare, complex, or rapidly evolving conditions.
  • Any recommendation, nudge, or suggestion generated by the Health Twin is general in nature and does not constitute individualized medical advice.

19. Data Accuracy Depends on User Input

  • The accuracy, completeness, and usefulness of your Health Twin depend entirely on the quality of the data provided — including uploaded reports, prescriptions, connected device readings, and manually entered information.
  • Incomplete, outdated, incorrect, or delayed data will directly and materially affect the reliability of insights generated.
  • We make no guarantee that your Health Twin reflects your complete or current health status at any given time, particularly where records from external providers have not been synced or shared with the platform.

20. Device and Connectivity Disclaimer

  • Where the Health Twin draws data from wearable devices or connected medical hardware, the accuracy of such data depends on the calibration, condition, and reliability of the originating device or manufacturer's software, which are outside Nextcare.Life's control.
  • Data synchronization may be delayed, incomplete, or interrupted due to device battery limitations, connectivity issues, or third-party service outages.
  • Nextcare.Life disclaims responsibility for inaccuracies, delays, or data loss originating from third-party devices, sensors, or applications.

21. Emergency Use Prohibited

  • The Digital Health Twin must not be used to make decisions during a medical emergency.
  • If you experience chest pain, difficulty breathing, loss of consciousness, severe bleeding, stroke-like symptoms, or any other life-threatening condition, seek immediate in-person medical attention or contact emergency services (e.g., 112 or 108 in India) without delay.
  • Unless explicitly stated as an active feature on your account, the Health Twin does not include real-time emergency alerting, monitoring, or life-safety functionality.

22. User Responsibility

  • You are responsible for keeping your uploaded data current, accurate, and complete to the best of your ability.
  • You are responsible for verifying any insight generated by your Health Twin with a qualified healthcare provider before making any health-related decision, including starting, stopping, or altering any treatment or medication.
  • The Health Twin does not replace, and must not be used as a substitute for, regular medical checkups, screenings, laboratory testing, or in-person professional consultation.
  • Uploading fraudulent, falsified, altered, or another individual's medical data is strictly prohibited and may result in suspension or termination of your account.
  • You must promptly notify us of any suspected unauthorized access to your account.

23. Data Privacy and User Control

  • Your Health Twin data is encrypted in transit and at rest and is accessible only to you and the clinicians you explicitly authorize.
  • You may view, export, or delete your Health Twin data at any time, subject to legal record-retention obligations applicable to clinical data shared by treating institutions.
  • We do not sell your health data, and we do not share it with third parties for marketing or advertising purposes.
  • You may withdraw consent for data processing at any time; doing so may limit or disable certain features of the Health Twin.

24. Limitation of Liability

  • To the maximum extent permitted by applicable law, Nextcare.Life shall not be liable for any health outcome, injury, or loss resulting from reliance on Health Twin insights, inaccurate or incomplete user-provided data, or interruptions in device or data synchronization.
  • Your Health Twin supplements, but never replaces, the relationship between you and your treating physician.
  • Nextcare.Life's aggregate liability in connection with the Digital Health Twin shall not exceed the amount, if any, paid by you for the service in the twelve (12) months preceding the claim, except where such limitation is not permitted by applicable law.

25. Account Suspension and Termination

  • Nextcare.Life reserves the right to suspend or terminate access to the Digital Health Twin in cases of suspected fraud, misuse, data falsification, or violation of this Disclaimer or applicable Terms and Conditions.

PART III: GENERAL PROVISIONS (APPLICABLE TO BOTH SERVICES)

26. Eligibility

  • Nextcare OS is intended solely for use by authorized healthcare institutions, licensed professionals, and their designated staff.
  • The Digital Health Twin is intended for individual users capable of providing informed consent under applicable law. Use by or on behalf of a minor requires the consent and supervision of a parent or legal guardian, who shall be responsible for such use.

27. Intellectual Property

  • All software, artificial intelligence models, algorithms, designs, trademarks, logos, and content associated with Nextcare OS and the Digital Health Twin are the exclusive property of Stats&Facts Technologies Pvt. Ltd. and are protected under applicable intellectual property laws.
  • Nothing in this Disclaimer grants any license or right to copy, modify, reverse-engineer, distribute, or create derivative works from the Services, except as expressly permitted in writing.
  • User-uploaded data and content remain the property of the user or originating institution, subject to the limited license necessary for Nextcare.Life to provide the Services.

28. Third-Party Links and Content

  • The Services may contain links to third-party websites, applications, or content not controlled by Nextcare.Life.
  • Nextcare.Life does not endorse and is not responsible for the accuracy, legality, or content of any third-party site or service. Access to such links is at your own risk.

29. Force Majeure

  • Nextcare.Life shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, government action, internet or telecommunications failures, power outages, pandemics, or other events of force majeure.

30. Assumption of Risk

  • You acknowledge that the use of AI-assisted healthcare technology carries inherent limitations and risks, including the possibility of error, and you voluntarily assume such risks by choosing to use the Services in conjunction with, and never as a replacement for, professional medical judgment.

31. Changes to This Disclaimer

  • Nextcare.Life may amend this Disclaimer from time to time to reflect new features, regulatory developments, or operational changes.
  • Material changes will be communicated through the platform, by email, or through other reasonable means.
  • Continued use of the Services following any such update constitutes acceptance of the revised Disclaimer.

32. Governing Law and Dispute Resolution

  • This Disclaimer is governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.
  • Any dispute arising out of or in connection with this Disclaimer or the Services shall be subject to the exclusive jurisdiction of the courts located where Stats&Facts Technologies Pvt. Ltd. is registered.
  • Parties are encouraged to attempt good-faith resolution of any dispute prior to initiating formal legal proceedings, where permitted.

33. Severability

  • If any provision of this Disclaimer is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

34. Waiver

  • No failure or delay by Nextcare.Life in exercising any right under this Disclaimer shall operate as a waiver of that right, nor shall any single or partial exercise preclude any further exercise of that or any other right.

35. Assignment

  • Nextcare.Life may assign or transfer its rights and obligations under this Disclaimer in connection with a merger, acquisition, or sale of assets, without prior notice. Users and institutions may not assign their rights under this Disclaimer without prior written consent.

36. Entire Agreement

  • This Disclaimer, together with our Terms and Conditions and Privacy Policy, constitutes the entire agreement between you (or your institution) and Nextcare.Life with respect to the subject matter herein, and supersedes all prior or contemporaneous understandings, whether written or oral.

37. Language

  • This Disclaimer is issued in English. Any translations provided are for convenience only; in the event of any discrepancy, the English version shall prevail.

38. Notices

  • Any notices required under this Disclaimer shall be delivered via the contact details registered with your account, or via email to the address specified below.

40. Emergency Notice

  • By accessing or using Nextcare OS or the Digital Health Twin Application, you (or the institution you represent) confirm that you have read, understood, and agree to be bound by this disclaimer in its entirety.
  • If you do not agree with any part of this disclaimer, you must discontinue use of the Services immediately.
